Duties of a Board Member: Jacobson Jarvis has put together a great overview of the duties of a board member. The 3 main duties are (1) Good Faith, (2) Loyalty, and (3) Care. This paper has an informative discussion of each duty -- see pages 3 & 4 specifically, but the whold document is of interest.
Standing Rules for Ben Franklin PTA, which reference the Washington State PTA Bylaws and Robert's Rules. The Standing Rules is our be-all and end-all document. It defines our PTA, our structure, fees, committees, etc. Any changes must be approved by a General Membership Meeting. Our meetings are run using the Robert's Rules of Order, which most non-profit boards use.
